Terms of Service

Agreement to these terms
These Terms of Service ("Terms") govern your use of the EmidLabs website (emidlabs.com), the Console (console.emidlabs.com) and its underlying API, the Backtesting API, the strategy execution engine behind it, and the EmidLabs Backtest MCP server that lets AI agents call EmidLabs on your behalf (together, the "Services"). By creating an account or otherwise using the Services, you agree to these Terms. If you don't agree, don't use the Services.
Who you're contracting with
EmidLabs is currently operated by Samuel Lucas Lima Emidio, as an individual, pending formal incorporation of a registered legal entity. Once incorporated, these Terms will be updated to name that entity as the contracting party in Samuel's place. See our Privacy Policy for how we handle your data.
Eligibility
The Services are not directed at anyone under 18. By using the Services, you confirm you're at least 18 and legally able to enter into this agreement.
Your account
You're responsible for keeping your login credentials and API keys confidential and for all activity that happens under your account, including actions taken by an AI agent you've configured with your API key. Tell us immediately at privacy@emidlabs.com if you suspect a key has been compromised — you can also revoke any key yourself from the Console at any time.
Acceptable use
You agree not to:
- Share, sell, or publish your API key, or let anyone outside your organization use it.
- Attempt to circumvent rate limits, capacity allocations, or other technical controls on the Services.
- Reverse-engineer, scrape, or resell the Services or the historical market data delivered through them, other than for your own strategy research.
- Use the Services for anything unlawful, or to build a competing backtesting product using our data or infrastructure.
- Interfere with the Services' normal operation, including through automated load intended to disrupt rather than use the product (see the MCP server's own infra rate limit, which exists specifically to guard against this).
We may suspend or terminate access for accounts that violate this section, with notice where practical.
AI agents and the MCP server
The EmidLabs Backtest MCP server lets you connect an AI agent (e.g. Claude, ChatGPT) to run backtests on your behalf, authenticated with your own EmidLabs API key. You are responsible for what an agent does with that key once you've configured it, exactly as if you'd made the calls yourself — the same acceptable-use rules above apply regardless of whether a human or an agent is driving the request.
Billing
Plans and top-ups
Subscription plans grant a monthly allowance of execution capacity that resets each billing cycle on a use-it-or-lose-it basis — unused capacity does not roll over. One-time top-up capacity, purchased separately, does not expire. Payments are processed by Stripe; we never see or store your card details.
Changes and cancellation
You can change or cancel your subscription plan at any time from the Console. A cancellation takes effect at the end of the current billing cycle — you keep access to your plan's capacity until then. Top-up capacity you've already purchased is unaffected by a plan cancellation.
Refunds
Payments are generally non-refundable once execution capacity has been granted to your account, except where required by law. Contact privacy@emidlabs.com if you believe you were charged in error.
Not financial advice
Third-party data and services
Historical market data (OHLCV) used by the backtesting engine is sourced from Coinbase's public market data and provided "as is," without any warranty of accuracy or completeness. Authentication runs on Firebase, and billing runs on Stripe — your use of the Services is also subject to those providers' own terms where applicable.
Intellectual property
EmidLabs owns the Services, including the platform, execution engine, and documentation. We don't claim ownership over the trading strategies you design or the results you generate — those are yours. You grant us a limited license to process your strategy definitions solely to operate the Services on your behalf (e.g. running the backtest you requested).
"As is," no warranty
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We don't guarantee the Services will be uninterrupted, error-free, or free of data gaps in the underlying historical market data.
Limitation of liability
To the maximum extent permitted by law, EmidLabs is not liable for any indirect, incidental, special, or consequential damages, or for any trading or investment losses, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the amount you paid us in the 3 months before the claim arose.
Termination
You can stop using the Services and delete your account at any time. We may suspend or terminate your access for violating these Terms, non-payment, or if required by law. Sections that by their nature should survive termination (billing amounts already owed, limitation of liability, intellectual property) continue to apply after your account is closed.
Changes to these Terms
If these Terms change, we'll update the "last updated" date above. Material changes will be flagged to existing account holders before they take effect. Continuing to use the Services after a change takes effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of Brazil, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Services will be subject to the jurisdiction of the courts of Brazil, unless applicable consumer-protection law requires otherwise.
